Rebecca Carpenter represents emerging and established private fund sponsors, venture capital managers, and family offices in connection with fund formation and ongoing investment activity. Her practice includes structuring private funds (approximately $5M–$250M), forming special purpose vehicles and co-investment arrangements, reviewing target corporate and investment documentation, negotiating investor side letters, and advising on U.S. federal securities and investment management regulatory matters.
Rebecca Carpenter graduated cum laude from SMU Dedman School of Law in Dallas, Texas. While in law school, Rebecca served as an Articles Editor for the SMU Law Review Association, was a teaching assistant for the Legal Research, Writing and Advocacy Program, and participated in the Federal Tax Clinic. Prior to law school, Rebecca graduated magna cum laude from Texas A&M University in College Station, Texas.
Prior to joining Vela Wood, Rebecca practiced at a large Texas-based law firm and a boutique Dallas firm focused on representing investment managers.
Rebecca is based in Dallas with her husband and two children. Outside of work, she enjoys reading, traveling, spending time with friends, and getting outdoors.

- Advises family offices on venture and private investment activity, including investment structuring considerations and related securities and regulatory issues
- Counsels fund managers and related market participants on U.S. federal securities and investment management regulatory issues, including matters under the Investment Company Act of 1940, Investment Advisers Act of 1940, Securities Act of 1933, and Securities Exchange Act of 1934
